Sales Terms & Conditions

Effective Date: December 1, 2025

These Sales Terms & Conditions (“Sales Terms”) apply to quotes, estimates, invoices, and orders issued by Sigilite Tech LLC (“Sigilite”), a Florida limited liability company with its principal place of business at 4185 35th Street North, Saint Petersburg, Florida 33714, under the sigilitetech.com brand. Part A sets out the terms of sale; Part B is the Limited Hardware Warranty that applies to hardware sold by Sigilite.

Use of the sigilitetech.com website is governed by the Website Terms of Service; access to and use of the Sigilite platform is governed by the terms accepted at app.sigilite.com; and information practices are described in the Privacy Policy. Where a signed agreement, statement of work, or purchase order conflicts with these Sales Terms, the signed document controls.

Part A · Sales Terms & Conditions

1. Pricing

All prices are in U.S. Dollars (USD) and are valid for thirty (30) days from the date of the quote unless otherwise stated. A 3.5% processing fee applies to credit-card payments.

2. Order Confirmation

To secure pricing and initiate fulfillment, the customer must issue a purchase order or return a signed quote. No products or services will be scheduled, delivered, or invoiced until one of these forms of authorization is received.

3. Payment Terms

Unless otherwise stated, all invoices are due within thirty (30) days of the invoice date. A 20% deposit is required for quotes exceeding $50,000, invoiced upon receipt of a signed quote or purchase order. Hardware, software, installation materials, and services are invoiced at the time of delivery, with signed proof of delivery provided.

4. Late Payments

Past-due balances are subject to late fees or interest as specified in the applicable quote or invoice. The customer is responsible for all collection costs, including reasonable attorneys’ fees.

5. Scope of Quote

Each quote includes only the items listed in its Bill of Materials. Any additional materials, services, or modifications must be quoted separately.

6. Taxes

The purchaser is responsible for all applicable taxes, duties, customs, and government fees. If Sigilite is required to pay any such charges, the purchaser will reimburse Sigilite or provide valid exemption documentation at the time of contracting.

7. Delivery and Scheduling

Delivery and installation are subject to equipment availability and scheduling, which in some cases may exceed thirty (30) days. A project coordinator will confirm timelines after a signed quote or purchase order is received.

8. Subscription Fees

Subscription fees for software platforms and managed services may increase annually by 4% or more, consistent with applicable vendor policies. Specific subscription terms are governed by the underlying service agreement, including, where applicable, the terms accepted at app.sigilite.com or third-party end-user agreements.

9. Software Licensing and Access

Use of any software, platform, or hosted system provided under a quote is governed by the applicable End User License Agreement (EULA), subscription agreement, or vendor-specific terms. Those terms may be issued by Sigilite or by a third-party software provider; license scope, duration, renewal, and permitted use are defined per item on the quote or in the applicable agreement. Access to software or hosted services may be suspended for non-payment or misuse.

10. Connectivity Assumption

Unless otherwise noted on the quote, connectivity for in-vehicle or field-deployed systems is assumed to be provided by a customer-supplied cellular SIM card connected to the device for real-time access to applicable databases.

11. Budgetary Pricing for Pass-Through Fees

Certain third-party fees (such as data-platform license keys or recurring subscription renewals) may be quoted for budgetary purposes only. Customers should not issue purchase orders to Sigilite for renewal of fees identified as budgetary or pass-through; renewal instructions for those fees will be provided separately.

12. Warranty Terms

Warranty terms for hardware sold by Sigilite are specified per item on the quote and are governed by the Limited Hardware Warranty in Part B below. Unless otherwise stated, third-party components are covered solely by their respective manufacturer warranties. Customers are responsible for initiating warranty claims with the applicable manufacturer. Sigilite may assist with OEM coordination but is not responsible for the manufacturer’s performance or claim outcomes.

13. Affiliates, Resellers, and Third-Party Terms

Where a quote includes products or services from an affiliate, an authorized reseller relationship, or an independent third-party partner, those items are governed by the applicable affiliate, reseller, or third-party terms in addition to these Sales Terms. The customer is responsible for reviewing and accepting those separate terms.

Part B · Limited Hardware Warranty

Sigilite provides a limited warranty for hardware products sold directly by Sigilite. This warranty applies only to the original end user and is non-transferable. Coverage begins on the earlier of shipment or installation unless otherwise stated in writing on the applicable Sigilite quote, invoice, or Order Form. This warranty is limited to defects in materials and workmanship under normal and intended use during the applicable warranty period. The duration and scope of coverage are limited to those expressly stated in the applicable Sigilite quote, invoice, or Order Form.

14. Warranty Coverage

Sigilite provides a limited ninety (90) day parts and labor warranty for eligible hardware components sold by Sigilite. During the warranty period, Sigilite will, at its sole discretion, repair or replace hardware that fails due to verified defects in materials or manufacturing. Warranty service may include diagnostic evaluation, repair or replacement of defective components, and labor required to restore the equipment to functional condition. The customer is responsible for shipping equipment to Sigilite for evaluation. Sigilite will cover return shipping for approved warranty claims within the continental United States.

15. Field Deployment Acknowledgment

Sigilite hardware is designed for investigative, surveillance, and operational deployments that may involve outdoor environments, vehicles, mobile installations, temporary installations, and other uncontrolled field conditions. By purchasing or deploying Sigilite hardware, the customer acknowledges that such conditions inherently involve environmental exposure, handling, transportation, and operational stress. These conditions are considered normal use and do not constitute product defects.

16. Warranty Exclusions

This warranty applies solely to manufacturing defects and does not cover damage, failure, or degradation resulting from normal use or operational conditions. Excluded conditions include, without limitation, environmental exposure (including moisture, humidity, dust, debris, UV exposure, temperature extremes, or corrosion), physical damage (including impact, accidents, vandalism, tampering, or theft), improper installation, storage, handling, or transportation, power-related issues (including surges, unstable supply, or lightning), unauthorized modifications or repairs, use of non-approved components or accessories, integration or configuration issues with third-party systems, and degradation of consumable or externally exposed components. Any equipment exhibiting conditions consistent with the foregoing shall be deemed out of warranty regardless of the remaining warranty period.

17. OEM and Third-Party Components

Certain components or integrated systems may be subject solely to the warranty of the original equipment manufacturer (“OEM”). In such cases, Sigilite provides no additional warranty beyond that provided by the OEM. Sigilite may assist with coordination of OEM warranty claims but assumes no responsibility for OEM performance or outcomes.

18. Warranty Process

To initiate a warranty claim, the customer must contact Sigilite support and obtain a Return Merchandise Authorization (RMA) prior to returning any equipment. Warranty service timelines are dependent on evaluation, parts availability, and logistics. Repaired or replacement equipment will be covered for the remainder of the original warranty period or thirty (30) days from return shipment, whichever is longer.

19. Software and Platform Services

This warranty applies solely to hardware products. Software, platform services, data, analytics, and any outputs made available through the Sigilite platform are not covered under this warranty and are provided on an “as is” and “as available” basis pursuant to the applicable platform terms.

20. Limitation of Warranty and Liability

This warranty is the sole and exclusive remedy available to the customer and is in lieu of all other warranties, whether express, implied, or statutory, including any implied warranties of merchantability or fitness for a particular purpose. Sigilite shall not be liable for any indirect, incidental, consequential, or special damages, including loss of data, investigative disruption, system downtime, operational delays, or loss of revenue. No employee, representative, reseller, or partner of Sigilite is authorized to modify or extend this warranty unless such modification is made in writing and signed by an authorized officer of Sigilite Tech LLC.

General

21. Governing Law

These Sales Terms and the Limited Hardware Warranty are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles, with exclusive venue in the state or federal courts located in Pinellas County, Florida.
